Title:Izzivi ureditve in presoje delovno-pravnega položaja poslovodnih oseb in vodilnih delavcev

Abstract:V prispevku so obravnavana izbrana vprašanja delovnopravnega položaja poslovodnih oseb in vodilnih delavcev v gospodarski družbi, še posebej vprašanje prenehanja pogodbe o zaposlitvi. Pri poslovodnih osebah je aktualno predvsem vprašanje posebnosti pogodbene ureditve prenehanja pogodbe o zaposlitvi, vpliv pogodbene določitve pravice do drugega delovnega mesta na ohranitev zaposlitve, pa tudi vprašanje odpovedi pogodbe o zaposlitvi, če posebne pogodbene ureditve ni. Analizirano je tudi vprašanje pristojnosti za podajo odpovedi pogodbe o zaposlitvi in vprašanje sodne pristojnosti rednih in delovnih sodišč v sporih med družbo in poslovodno osebo. V zvezi z vodilnimi delavci je opozorjeno na pomen opredelitve kroga vodilnih delavcev in na drugačnost njihovega pravnega položaja (od položaja poslovodnih oseb), kar se kaže tudi pri prenehanju pogodbe o zaposlitvi.

Title:Challenges of regulating and assessing the employment status of members of management bodies and managerial employees
Abstract:This paper explores key issues concerning the employment status of members of management bodies (directors) and managerial employees within a company, with particular emphasis on the termination of employment contracts. The paper covers the specific aspects of contract arrangements for terminating managerial employment, the effect of contractually defining the right to another job on continued employment, and the implications when no such special arrangements exist. The analysis extends to the authority responsible for terminating employment contracts and examines whether ordinary or labour courts have jurisdiction in disputes between companies and managerial staff. Special attention is paid to the significance of clearly identifying the group of managerial employees and distinguishing their legal position from that of directors, particularly in relation to contract termination.
